TAS Job Descriptions

President Position

The President shall preside at all meetings of the members and the Board of Directors, shall have general supervision of the affairs of the Corporation and shall perform such other duties as are incidental to the office or are properly required of the President by the Board of Directors. The President will appoint all standing committees and special committees and will serve as an ex-officio member of all committees.


Specific Responsibilities:

  • Provide objectives, leadership, vision and direction to the organization.
  • Serve as Chief Executive Officer of The Applique Society (TAS).
  • Has the power to appoint all standing committees and special committees not otherwise provided for by the By-Laws or Standing Rules with advice and consent of the Executive Committee.
  • Preside at all general meetings of the Corporation, the Board of Directors and the Executive Committee.
  • Serve as an ex-officio member of all committees.
  • Has general supervision of the affairs of the Corporation and shall perform such duties as are incidental to the office or are properly required of the President by the Board of Directors.
  • Assist in setting policy.
  • Initiate, together with the Board, long term strategic planning and development
  • Maintain communication with the membership through the TAS Newsletter, on the TAS website and at TAS conferences.
  • Approve all legal and professional activities on behalf of the Corporation.
  • Stay in regular contact with the Directors, committees and employees.
  • Participate as signatory on all bank accounts, along with the Treasurer.


Requirements for the Position:

  • Enthusiastic about The Applique Society
  • A member for at least two years
  • Has served on the Board of Directors in some capacity for not less than one year
  • Knowledge of and access to the internet
  • Knowledge of and access to software programs that might be necessary in the completion of day to day duties. Examples – word processing programs such as Word or WordPerfect, etc. Database programs such as Excel, Access or Microsoft Works Database, etc. Email programs such as Outlook, Outlook Express or any of the ISP email program.

Vice President Position

During the absence or disability of the President, the Vice President shall exercise all the functions of the President. The Vice President shall have such powers and discharge such duties as may be assigned to him or her from time to time by the Board of Directors.

Specific Responsibilities:

  • Consult with the Secretary to set the agendas for the membership meetings, Executive Committees and Board conference calls and meetings.
  • Ensure that meetings are conducted according to the parliamentary procedure outlined in the By-Laws in order to assure the will of the majority, keeping in mind the rights of the minority.
  • Work closely with the Treasurer to ensure effective use of resources.
  • Assist the President in making decisions.
  • Serve on the Executive Board.
  • In the event of death or resignation of the President, assume the duties of the President until the Board appoints a new President or until the next election.
  • Assume the office and duties of the President when the President is temporarily unable to fill the function of the office.
  • May succeed the President.
  • Work closely with Director of Membership to develop long and short term goal for the Corporation.


Requirements for the Position:

  • Knowledge of and access to software programs that might be necessary in the completion of day to day duties. Examples – word processing programs such as Word or wordPerfect, etc. Database programs such as Excel, Access or Microsoft Works Database, etc. Email programs such as Outlook, Outlook Express or any of the ISP email program.

Treasurer and Assistant Treasurer Positions

The Treasurer shall have the custody of all money and securities of the Corporation and shall keep regular books of account. The Treasurer shall perform such other duties as are incidental to the office or are properly required by the Board of Directors.

The Assistant Treasurer, or Assistant Treasurers, in the order designated by the Board of Directors, shall perform all of the duties of the Treasurer in the absence of disability of the Treasurer, and at other times may perform such other duties as are directed by the President or the Board of Directors.


Specific Responsibilities:

  • Retain custody of all money and securities of the Corporation and disburse the funds of the Corporation in payment of the just demands against the Corporation or as may be ordered by the Board of Directors (taking proper vouchers for such disbursements).
  • As required, render to the Board of Directors an account of all transactions undertaken as Treasurer and of the financial condition of the Corporation.
  • Initiate the development of the annual budget.
  • Obtain approval from the Board before end of fiscal year for next year’s budget.
  • Prepare, with the Bookkeeper, an end of year financial report and present it to the Board of Directors.
  • Oversee, with the Bookkeeper the annual preparation and proper filing of required federal and state forms and reports (i.e. 1099’s, annual taxes, payroll taxes, annual reports)
  • Review, monthly, all monetary transactions of the Corporation.
  • Prepare the fiscal year report for the TAS Newsletter once a year
  • Bring any financial emergencies to the President for discussion.
  • Participate as a signatory on all bank accounts along with the President.
  • Sign all necessary legal papers and other documents necessary to execute financial and Executive Board operations.
  • Serve on the Executive Board.


Requirements for the Position:

  • Enthusiastic about The Applique Society
  • A member for at least one year
  • Has served on the Board of Directors in some capacity for not less than one year
  • Knowledge of generally accepted account principles
  • Knowledge and access to Quicken, QuickBooks PRO, Excel or Peachtree, etc.
  • Knowledge of and access to the internet
  • Knowledge of and access to software programs that might be necessary in the completion of day to day duties. Examples – word processing programs such as Word or WordPerfect, etc. Database programs such as Excel, Access or Microsoft Works Database, etc. Email programs such as Outlook, Outlook Express or any of the ISP email program.

Secretary and Assistant Secretary Positions


The Secretary shall issue notices for all meetings, except for notices of special meetings of the Board of Directors which are called by the requisite number of directors; shall keep minutes of all meetings; shall have charge of the corporate books and shall make such reports and perform such other duties as are incidental to the office or are properly required of the Secretary by the Board of Directors.

The Assistant Secretary, or Assistant Secretaries, in the order designated by the Board of Directors, shall perform all of the duties of the Secretary, and at other times may perform such duties as are directed by the President or the Board of Directors.


Specific Responsibilities:

  • Record and maintain minutes for the general membership, Board of directors and Executive Committee.
  • Has charge of and maintains the corporate books.
  • Maintain and keep current the Articles of Incorporation, By-Laws, Standing Rules and Corporate Board books.
  • Establish agendas with the Vice President.
  • Review past agendas and minutes.
  • Set up conference calls and oversees the billing.
  • Email the Board and staff, in a timely manner, calls for agenda items, the agendas and meeting minutes.
  • Serves on the Executive Board.


Requirements for the Position:

  • Enthusiastic about The Applique Society.
  • A member for at least one year.
  • Has served on the Board of Directors in some capacity for not less than one year.
  • Ability to represent the substance of a dialogue among 6-12 persons, organize the ideas and record them clearly and concisely.
  • Capable typing skills.
  • Knowledge of access to the internet.
  • Knowledge of and access to software programs that might be necessary in the completion of day to day duties. Examples – word processing programs such as Word or WordPerfect, etc; Database programs such as Excel, Access or Microsoft Works Database, etc. Email programs such as Outlook, Outlook Express, or any of the ISP email programs.

Board Member Position

Each Board Member is concerned with the overall functioning of the Corporation, The Applique Society. The Board Member will assist in the general supervision, maintenance and control of all business and affairs of The Applique Society.

It is the responsibility of each Board Member to regularly attend any Board Meeting Conference Call and all other important related meetings, whenever scheduled, in order to help with the discussion and decisions being made about the day-to-day and long-term functions of The Applique Society.

Responsibilities:

  • To make a serious commitment to participate actively in committee work.
  • To volunteer for, and willingly accept, assignments and complete them thoroughly and in a timely manner.
  • To stay informed about committee matters and prepare themselves well for meetings, reviews and comments on minutes and reports.
  • To be an active participant in the committee’s annual evaluation and planning efforts.
  • To assist in the decisions about ongoing projects, activities, functions, future events and volunteer responsibilities.
  • To work within the present budget and work on establishing any future budget.
  • To establish guidelines and by-laws that will help to give the Corporation a firm foundation to function in the years ahead.
  • To assure that each problem or question that arises has been researched enough to supply the Board Officers and Board Members with sufficient information to aid in the Board’s ability to make an informed decision on the outcome of such concern.
  • To assume responsibilities that will assist the Board Officers and other members of the Board in the supervision and control of The Applique Society.
  • To vote on any or all motions brought before the Board for approval. If the member is unavailable at any given meeting (or email request for discussion or vote) when a vote is being taken, the member is able to vote by proxy. This proxy should be executed in writing by the member of by a duly authorized power to execute such vote.


Additional:

Any person assuming a position as a Board Member needs to be aware that this is not a place for personal opinions and preferences. This position requires that the opinions, preferences, discussions and any votes given by this member should reflect what is best for The Applique Society, its Officers, Board Members and the membership of The Applique Society.

It may be tempting to comment or vote on matters according to what we personally like or prefer; but these preferences must be set aside and concentrate on what is best for the Corporation and its members, now and in the years to come.

If this Corporation is to thrive, flourish and stand the test of time, we must remember that decisions made now will affect the stability of the Corporation later.

Any person accepting a position as a Board Member should be aware that this position would exact time and effort on the part of the member. The member will be called on to assist in many details that can only be accomplished with time and with effort. If one member does not fulfill their responsibilities, extra work becomes necessary to the other Board Officers and Board Members.

In order to serve as a Board Member, one does not have to have any special requirements or special education. One need only have the desire to have the best Corporation possible for all its members, to have a desire to see the Corporation thrive and become well respected in all countries around the world and to make their decisions and votes based on this and nothing else.
